Board Governance

  • What Does the Board Do?

    • Oversees the school’s mission and long-term strategy

    • Ensures financial accountability and legal compliance

    • Supports the Head of School through governance (not management)

    Board Structure

    • 3-9 Members, including Chair, Treasurer, and Secretary

    • Serve staggered 3-year terms

    Meets monthly during the school year

  • Comprised of the four board officers, this committee provides leadership continuity and operational oversight between full board meetings. It acts under the direction and authority of the full board. Responsibilities include: 

    • Coordinating board agendas and strategic priorities in collaboration with the Head of School

    • Supporting Goverance continuity and leadership development

    • Making timely decisions on urgent or time-sensitive matters between board meetings

    • Acting as a sounding board for board and administrative concerns

    • Ensuring alignment with board-approved policies and directives

  • Oversees budgeting, financial planning, and internal controls to support the school’s long-term financial health. Its responsibilities often include: 


    • Developing and reviewing the annual budget

    • Monitoring financial statements and long-term financial health

    • Overseeing audit preparation and regulatory compliance

    • Advising on major spending or fund allocation decisions

    • Supporting capital planning and reserve-building efforts

  • This committee helps ensure that the school has strong, fair, and consistent practices when it comes to the people who work at Lupine—teachers, staff, and leadership. It includes both board members and relevant community members when appropriate. Its responsibilities often include: 

    • Review hiring and onboarding processes

    • Assist in drafting or reviewing HR-related policies

    • Promote staff retention and a healthy workplace culture

    • May participate in leadership-level hiring

    Support fair and values-aligned evaluation practices

  • The Grounds Committee is an ad hoc committee established by the Board of Directors with the primary goal of researching, evaluating, and recommending a comprehensive master plan for the development, use, and ongoing stewardship of our community’s outdoor areas.

    It will be comprised of volunteer community members, including individuals with relevant expertise or interest in landscaping, planning, architecture, sustainability, or community development with the following objectives:

    • Assess the current condition and utilization of all outdoor spaces, including common areas, landscaping, recreational spaces, pathways, and any undeveloped land.

    • Research best practices in outdoor space planning, sustainability, and community engagement.

    • Develop a long-term vision and phased master plan that aligns with the community’s values, budget considerations, and future growth.

    • Present findings and recommendations to the Board of Directors for review and possible implementation.

    This is a temporary committee formed for the duration of the planning process. The committee will be dissolved once its final recommendations have been submitted and reviewed by the Board.
